TERMS OF SERVICE, SALE, SHIPPING, RETURNS, SHIPPING PROTECTION, AND PAYMENT DISPUTES

These Terms of Service, Sale, Shipping, Returns, Shipping Protection, and Payment Disputes (“Terms”) govern your use of the Midwest Bimmer Supply LLC website and every purchase made from Midwest Bimmer Supply LLC (“Midwest Bimmer Supply,” “MBS,” “we,” “us,” or “our”).
By accessing our website, creating an account, placing an order, purchasing Shipping Protection, submitting payment, or selecting the checkbox confirming your agreement to these Terms, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and all policies incorporated into them.
If you do not agree to these Terms, you must not use our services or place an order.
1. ELIGIBILITY AND ACCEPTABLE USE
You represent that you are at least the age of majority in your state or jurisdiction and legally capable of entering into a binding agreement.
You agree that you will:

Use our website and products only for lawful purposes.

Provide truthful and accurate information.

Not transmit viruses, malicious code, or other harmful material.

Not interfere with the operation or security of our website.

Not reproduce, resell, copy, exploit, or misuse any portion of our website or content without written authorization.

Not use our website to violate intellectual-property, privacy, consumer-protection, or other applicable laws.
We reserve the right to refuse service, restrict access, cancel orders, or terminate accounts when reasonably necessary to prevent fraud, abuse, unlawful activity, policy violations, or harm to MBS or another party.
2. PRODUCT INFORMATION, IMAGES, AND AVAILABILITY
We make reasonable efforts to display accurate product descriptions, specifications, compatibility information, colors, photographs, pricing, and availability. However, minor errors, variations, or omissions may occur.
Product photographs may be representative. Actual color, weave pattern, finish, texture, hardware, packaging, weld appearance, or other minor details may vary due to manufacturing changes, production batches, lighting, screen settings, or the handmade nature of certain products.
Carbon-fiber products may display minor variations in weave alignment, clear-coat appearance, surface texture, or finish. Minor cosmetic variations that do not materially interfere with installation or normal use are not automatically considered defects.
Product availability is not guaranteed. Certain products may be limited, special ordered, made to order, backordered, transferred between warehouses, or fulfilled through a manufacturer, distributor, or third-party supplier.
We reserve the right to:

Correct product descriptions, prices, specifications, or other errors.

Update or discontinue products without notice.
-
Limit quantities purchased by any customer, household, address, account, or order.
-
Cancel or refuse an order containing an obvious pricing, inventory, fraud-screening, or listing error.
If we cancel an order because of our own pricing, inventory, or listing error, we will refund the amount collected for the canceled item.
3. VEHICLE FITMENT AND CUSTOMER RESPONSIBILITY
Vehicle fitment information is provided as a general reference. The customer is responsible for confirming compatibility before purchasing, including the vehicle’s year, make, model, chassis, trim, drivetrain, engine, transmission, production date, factory options, modifications, and regional configuration.
Similar-looking vehicles may use different parts. Website categories, search results, product titles, customer photographs, and general model references do not replace verification of the vehicle’s specifications or original-equipment part number.
If fitment is uncertain, the customer must contact MBS before ordering. Recommendations provided without a complete and accurate VIN, production date, photographs, or modification list are based only on the information supplied by the customer.
MBS is not responsible for incompatibility caused by:

Incorrect or incomplete customer information.
-
Undisclosed vehicle modifications.
-
Prior accident repairs or aftermarket bodywork.
-
Regional or production-date differences.
-
Incorrect installation.
-
Failure to verify the applicable part number or specifications.
4. AFTERMARKET PRODUCTS AND PROFESSIONAL INSTALLATION
Unless expressly identified as an original-equipment product, products sold by MBS are aftermarket components and may fit, function, sound, or appear differently from factory parts.
Professional installation by a qualified technician is strongly recommended. Some products may require trimming, drilling, adjustment, coding, calibration, fabrication, hanger modification, alignment, transfer of factory components, or other installation work.
The customer and installer must inspect the product and conduct a dry fit before drilling, painting, wrapping, coating, modifying, permanently mounting, or otherwise installing it.
Installation, use, alteration, painting, drilling, trimming, wiring, coding, or modification constitutes acceptance of the product’s condition and apparent fitment, except for a latent defect that could not reasonably have been discovered beforehand.
Unless required by law or expressly approved by MBS in writing, we do not reimburse:

Installation or removal labor.
-
Diagnostic charges.
-
Towing or storage.
-
Rental vehicles.
-
Paint, coating, wrapping, or bodywork.
-
Coding, tuning, calibration, or fabrication.
-
Loss of vehicle use.
-
Damage caused by improper installation or use.
Products that have been installed, attempted to be installed, altered, painted, drilled, trimmed, damaged, or used are not eligible for a standard return.
5. PERFORMANCE, EMISSIONS, AND LEGAL COMPLIANCE
Performance results, horsepower gains, sound levels, appearance, and other outcomes may vary depending on vehicle condition, supporting modifications, software, fuel, installation, environment, and other factors. Unless expressly stated in writing, MBS does not guarantee a specific performance gain, sound, tune result, or vehicle response.
The customer is solely responsible for determining whether a product is legal for street use, emissions compliant, inspection compliant, and permitted under federal, state, and local law. Products designated for racing, competition, track, or off-road use must be used only where legally permitted.
MBS is not responsible for citations, failed emissions tests, failed inspections, warranty decisions, vehicle damage, or other consequences arising from unlawful or improper installation or use.
6. ORDERS, BILLING, AND FRAUD SCREENING
Orders are processed only after payment has been received and verified. Submission of an order does not guarantee acceptance.
We may request additional verification, including identification, address confirmation, payment authorization, vehicle information, or other reasonable documentation. Failure to provide requested verification may result in delay or cancellation.
You agree to provide current, complete, and accurate billing, shipping, contact, and account information. You authorize MBS and its payment processors to charge the total shown at checkout, together with any separately approved additional shipping charge.
We may limit or cancel orders that appear to involve fraud, unauthorized resale, payment abuse, incorrect information, duplicate transactions, or attempted circumvention of purchasing limits.
If an order is changed or canceled, we will attempt to notify you using the email address, telephone number, billing address, or account information provided with the order.
7. ORDER PROCESSING AND FULFILLMENT
Processing times vary depending on product availability, order volume, warehouse location, supplier requirements, customization, inspection, and payment verification.
Some products may be:

Shipped directly from an MBS warehouse.
-
Shipped from another domestic or international warehouse.
-
Dropshipped by a supplier.
-
Transferred from a supplier to our Crest Hill, Illinois facility before final shipment.
-
Backordered, special ordered, or made to order.
-
Shipped separately from other products in the same order.
An order containing multiple products may arrive in separate shipments and on different dates.
Tracking information will be provided when available. A tracking number may be generated before the carrier physically scans or receives the package.
8. SHIPPING METHODS AND DELIVERY ESTIMATES
MBS selects the carrier and shipping method unless a specific service is expressly guaranteed in writing.
Carbon-fiber products commonly arrive within approximately two to five business days after shipment, depending on destination and service level. Freight, oversized, special-order, vendor-transferred, made-to-order, and international products may require additional time.
All processing, production, transit, and delivery dates are estimates unless MBS expressly provides a written guaranteed date. Business days do not include weekends or recognized carrier holidays.
Once a shipment has been tendered to the carrier, transit and delivery timing are controlled by the carrier. MBS is not liable for delays caused by weather, congestion, labor disruptions, customs, inspections, carrier errors, supplier delays, natural events, government action, or other circumstances outside our reasonable control.
9. VENDOR-TO-WAREHOUSE TRANSFERS
Certain products must first be shipped from a manufacturer, distributor, or fulfillment partner to our Crest Hill, Illinois facility for inspection, consolidation, or reshipment.
Initial tracking may show delivery to Crest Hill, Illinois. This does not mean the customer’s order has been delivered or completed. After processing, updated tracking for the final shipment will be provided by email, account notification, or the Shop App when available.
Additional handling time may apply between arrival at our facility and final shipment.
10. ADDITIONAL SHIPPING CHARGES
Additional shipping charges may apply to:

Alaska, Hawaii, Puerto Rico, U.S. territories, and locations outside the contiguous United States.
-
International destinations.
-
Rural, remote, or limited-access locations.
-
Oversized, heavy, residential-freight, or liftgate deliveries.
-
Addresses requiring correction or redelivery.
-
Products incorrectly quoted by an automated checkout calculator.
When an additional charge is required, we may contact the customer or issue a separate invoice before releasing the shipment. If the customer declines a necessary additional charge before shipment, the affected product may be canceled subject to any applicable nonrecoverable special-order, processing, or payment costs disclosed before cancellation.
11. SHIPPING ADDRESSES AND DELIVERY
The customer is responsible for providing a complete and accurate shipping address.
MBS is not responsible for delay, loss, return-to-sender fees, address-correction fees, or redelivery charges resulting from incorrect, incomplete, outdated, or undeliverable information supplied by the customer.
Address changes are not guaranteed after an order is placed. We may require identity or payment verification before approving a change.
Customers must provide a safe delivery location and monitor tracking. Signature service may be required at our discretion. Refusal of delivery, failure to schedule a freight appointment, or failure to retrieve a held shipment may result in return shipping, storage, redelivery, and restocking charges.
12. FREIGHT AND SHIPPING DAMAGE
Before accepting a freight shipment, the customer or recipient must inspect the exterior packaging and product for visible damage.
Visible damage, punctures, crushed packaging, missing pieces, or irregularities must be written on the carrier’s delivery receipt before signing. The customer should photograph the shipment, packaging, label, pallet, and damage before unpacking or moving the item.
Shipping damage must be reported to MBS promptly and no later than seven calendar days after delivery. All original packaging and materials must be retained until the claim is resolved.
Failure to document visible damage with the carrier, discarding packaging, installing the product, altering the product, or failing to provide requested photographs may prevent MBS or the carrier from verifying the claim and may result in denial to the extent permitted by law.
13. ORDERS IN TRANSIT
Once an order has shipped or entered the fulfillment process:

Cancellation is not guaranteed.
-
The order cannot be canceled merely because of a carrier or supplier delay.
-
A refund will not be issued while the package is actively in transit.
-
Any return must occur after delivery and comply with these Terms.
-
Refusing delivery does not automatically qualify the order for a full refund.
If a refused or undeliverable shipment is returned, actual outbound shipping, return shipping, carrier fees, storage fees, processing costs, and applicable restocking fees may be deducted from any approved refund.
14. BACKORDERS, SPECIAL ORDERS, AND MADE-TO-ORDER PRODUCTS
If an item is backordered, we may provide an estimated availability date. Estimates may change because of manufacturing, import, customs, supplier, or transportation delays.
Requests to cancel a backordered item must be sent to Support@MidwestBimmerSupply.com. Cancellation eligibility depends on whether the item has entered production, been ordered from a supplier, been transferred, customized, allocated, or shipped.
Custom, personalized, painted, special-order, made-to-order, imported-on-request, and specifically sourced products are final sale once production, procurement, or fulfillment has begun unless the product arrives materially defective or incorrect.
15. RETURN ELIGIBILITY
Unless a product is designated final sale or a different written policy applies, a return request must be submitted within 12 calendar days after the carrier’s recorded delivery date.
Return authorization is required before sending any product. Products sent without authorization or sent to the address on the original shipping label may be refused or returned at the customer’s expense.
To qualify for a standard return, the product must be:

New and unused.
-
Uninstalled and unmodified.
-
Free from scratches, damage, odors, wear, adhesive residue, tool marks, or installation evidence.
-
Complete with all accessories, hardware, manuals, protective materials, and original packaging.
-
Accompanied by valid proof of purchase from MBS.
-
Packaged safely for return transportation.
A return authorization does not guarantee a refund. Final eligibility is determined after inspection.
16. NONRETURNABLE AND FINAL-SALE PRODUCTS
Except where otherwise required by law, the following are not eligible for a standard return:

Installed, used, altered, painted, drilled, trimmed, coded, tuned, or damaged products.
-
Products showing attempted installation.
-
Electronics, software, tuning licenses, digital products, ECU services, coding, flashing, and unlock services after delivery or performance of the service.
-
Custom, personalized, special-order, made-to-order, or imported-on-request products.
-
Clearance, closeout, discounted final-sale, and specifically designated final-sale products.
-
Products missing original packaging, hardware, accessories, or components.
-
Products damaged because of improper installation, misuse, collision, neglect, or incompatible modifications.
-
Gift cards and downloadable products.
-
Products returned after the applicable return period.
Sale pricing alone does not make an item final sale unless the product or promotion is identified as final sale when purchased.
17. RETURN SHIPPING AND INSPECTION
The customer is responsible for return shipping and safe packaging unless MBS confirms that we shipped a materially incorrect product.
Original shipping charges, expedited-shipping charges, freight charges, international charges, and return-shipping charges are nonrefundable unless required by law or expressly approved by MBS.
If MBS provides a prepaid return label for customer-convenience purposes, its cost may be deducted from the refund.
The customer remains responsible for the returned product until it is delivered to the authorized return location. We recommend using a trackable and insured service.
After receipt, MBS will inspect the product and notify the customer whether the return has been approved, partially approved, or rejected. Products returned in a condition different from how they were represented may be subject to a reduced refund or rejection.
18. RESTOCKING FEES
Approved returns are subject to the following restocking fees:

Electronics and performance products: 25%
-
Other returnable products: 20%
These fees account for inspection, testing, repackaging, handling, administrative costs, and reduced resale value.
Additional deductions may apply for missing packaging, missing hardware, damage, cleaning, replacement materials, shipping charges, or other loss in value caused by handling beyond what was reasonably necessary to inspect the product.
If MBS confirms that we shipped a materially incorrect item, reasonable return shipping will be provided and no restocking fee will apply to that item.
19. REFUNDS
Approved refunds will be issued to the original payment method whenever reasonably possible.
The time required for a refund to appear depends on the payment processor and financial institution. MBS does not control bank posting times.
Refunds do not include nonrefundable shipping, freight, payment, customs, brokerage, installation, or other third-party costs unless required by law or expressly approved by MBS.
If a product is returned without authorization, used, installed, materially damaged, incomplete, or otherwise ineligible, MBS may reject the refund and require the customer to pay for return shipment of the product.
Store credit, partial refund, replacement, repair, or another resolution may be offered when appropriate and accepted by the customer.
20. ORDER CANCELLATIONS
Cancellation requests must be submitted as soon as possible. A request is not effective until confirmed in writing by MBS.
Orders that have shipped, entered production, been customized, been special ordered, been transferred from a supplier, or otherwise entered nonrecoverable fulfillment cannot be canceled.
When a customer-requested cancellation is approved after processing or fulfillment expenses have been incurred, a cancellation fee of up to 20% may apply, together with any nonrecoverable supplier, shipping, customization, or payment costs.
If an approved cancellation is not subject to the 20% cancellation fee, a 2.5% payment-processing deduction may apply where that processing cost is not returned to MBS.
These charges will not apply when MBS cancels an order solely because of our own error or inability to fulfill it, except for any circumstance separately agreed to by the customer.
21. WRONG, MISSING, OR NONFUNCTIONAL PRODUCTS
Claims involving a materially incorrect, missing, or nonfunctional product must be submitted promptly and within seven calendar days after delivery.
The customer must provide requested photographs, video, packaging, shipping labels, diagnostic information, error codes, installation details, and other reasonably necessary documentation.
MBS must be given a reasonable opportunity to inspect, troubleshoot, test, repair, replace, or authorize the return before the customer alters, discards, repairs, replaces, or removes the product.
A customer may not keep both the disputed product and a full refund unless MBS expressly agrees in writing.
Replacement eligibility does not include damage caused by transit when Shipping Protection was declined, improper installation, misuse, incorrect wiring, tuning, incompatible modifications, or failure to follow troubleshooting instructions, except where applicable law provides otherwise.
22. SHIPPING PROTECTION
Shipping Protection is an optional service available on eligible orders. By purchasing it, the customer agrees to this section.
Shipping Protection may cover eligible claims involving:

Verified loss while in transit.
-
Theft following carrier-confirmed delivery.
-
Physical damage caused during transit.
Coverage begins when the protected shipment is tendered to the carrier and ends seven calendar days after the carrier’s recorded delivery date, counting the delivery date as day one.
A claim must be submitted during this coverage period. Late claims may be denied when the delay prevents reasonable investigation or recovery.
Shipping Protection does not cover:

Incorrect or incomplete addresses supplied by the customer.
-
Normal product variation or buyer’s remorse.
-
Improper installation, misuse, or post-delivery damage.
-
Customs seizure, legal confiscation, or prohibited imports.
-
Fraudulent, misleading, unsupported, or inconsistent claims.
-
Losses exceeding the amount paid for the covered product.
-
Labor, loss of use, lost profits, consequential loss, or emotional distress.
23. SHIPPING PROTECTION DOCUMENTATION
A Shipping Protection claim must include all documentation reasonably requested by MBS, which may include:
-
Clear photographs or video of the product and packaging.
-
Photographs of all sides of the shipping box or pallet.
-
The shipping label and tracking information.
-
A written description of the incident.
-
Government-issued identification, with unnecessary sensitive information redacted where appropriate.
-
A police report for alleged theft.
-
A carrier claim, loss confirmation, GPS information, delivery photograph, or written carrier statement.
-
Proof that the customer contacted household members, neighbors, property management, or the carrier.
Failure to cooperate or provide reasonably necessary documentation may result in denial when MBS cannot adequately verify the claim.
Submission of a claim does not guarantee approval.
24. SHIPPING PROTECTION INVESTIGATION AND RESOLUTION
MBS may investigate claims using tracking records, carrier photographs, delivery scans, GPS confirmation, address information, communication history, prior claims, and other relevant evidence.
Claims may be denied when evidence indicates delivery, fraud, abuse, misrepresentation, inconsistent information, duplicate recovery, or lack of covered loss.
For an approved claim, MBS may provide one or more of the following, subject to applicable law:

Replacement.
-
Repair or replacement components.
-
Store credit.
-
Full refund.
-
Partial refund for limited cosmetic or partial damage that does not render the product unusable.
The selected resolution will be reasonably based on product availability, the nature and extent of the covered loss, repairability, claim evidence, and applicable law.
The maximum Shipping Protection benefit is the amount paid to MBS for the covered product. Shipping Protection does not insure installation costs, lost profits, lost use, towing, storage, rental vehicles, or other indirect or consequential losses.
25. ORDERS WITHOUT SHIPPING PROTECTION
When Shipping Protection is declined, responsibility for carrier loss, theft following delivery, and shipping damage will be allocated according to applicable law and the carrier’s terms.
MBS will provide available tracking information and reasonable assistance with a carrier claim but does not guarantee reimbursement or replacement when optional protection was declined.
Nothing in these Terms eliminates any nonwaivable rights provided by applicable law.
26. NO DOUBLE RECOVERY
A customer may not receive duplicate compensation for the same loss from MBS, Shipping Protection, a carrier, insurer, payment processor, card issuer, financing provider, marketplace, or another third party.
The customer must disclose any other claim, refund, credit, reimbursement, or payment received for the same transaction.
If another party reimburses the customer after MBS has already provided a resolution, the customer agrees to return the duplicate amount to MBS. Intentional concealment or attempted double recovery may result in claim denial, account restriction, and lawful collection efforts.
27. PAYMENT DISPUTES AND CHARGEBACKS
Customers should contact Support@MidwestBimmerSupply.com and allow MBS a reasonable opportunity to investigate and resolve an order concern before initiating a payment dispute.
Nothing in these Terms waives a customer’s nonwaivable rights under applicable federal or state law. However, customers agree not to knowingly submit false, misleading, duplicative, or materially incomplete information to a bank, card issuer, financing provider, payment processor, or other institution.
A chargeback should not be used as a substitute for complying with the return process, returning an item, providing claim documentation, allowing reasonable troubleshooting, or waiting for an agreed resolution to be completed.
If a payment dispute is submitted, the customer authorizes MBS to provide the financial institution with relevant evidence, including:

These Terms and the customer’s recorded acceptance.

Order and payment information.
-
Tracking, delivery confirmation, carrier photographs, and GPS records.
-
Customer communications.
-
Product, installation, and claim photographs.
-
Return and refund records.
-
Fraud-screening and transaction information.
-
Evidence of replacement, store credit, partial refund, or other resolution.
Receiving a refund, replacement, store credit, carrier payment, insurance benefit, or other compensation while also retaining chargeback proceeds for the same loss constitutes prohibited double recovery.
MBS may suspend fulfillment, withhold voluntary account benefits, restrict future purchases, or pursue lawful recovery of an unpaid balance, duplicate reimbursement, return shipping, collection expenses, and chargeback fees resulting from a fraudulent or bad-faith dispute.
28. THIRD-PARTY SERVICES AND LINKS
Our website may contain third-party tools, payment services, financing options, applications, integrations, or links.
Third-party services are provided under the applicable provider’s terms. MBS does not control and is not responsible for third-party websites, content, availability, security, policies, approvals, or decisions.
Use of any third-party service is at the customer’s own discretion. Customers should review the provider’s terms and privacy policy before use.
29. USER SUBMISSIONS, REVIEWS, AND CONTENT
If you submit reviews, photographs, videos, suggestions, feedback, vehicle images, installation content, or other materials to MBS, you represent that you have the right to submit them.
Unless otherwise agreed in writing, you grant MBS a nonexclusive, worldwide, royalty-free license to use, reproduce, edit, publish, and display the submitted materials for customer service, business records, marketing, fraud prevention, dispute response, and other lawful business purposes.
We are not required to keep voluntary feedback confidential or provide compensation for its use.
We may remove content that is unlawful, threatening, abusive, fraudulent, defamatory, obscene, misleading, infringing, or otherwise inappropriate.
30. PERSONAL INFORMATION
Our collection and use of personal information is governed by our Privacy Policy.
Information may also be processed by payment processors, carriers, fraud-prevention providers, financing companies, website platforms, suppliers, and other service providers as reasonably necessary to process orders, deliver products, prevent fraud, respond to disputes, and operate our business.
31. INTELLECTUAL PROPERTY
The MBS website, branding, photographs, graphics, text, product descriptions, designs, and other content are owned by or licensed to Midwest Bimmer Supply LLC and are protected by applicable intellectual-property laws.
No content may be copied, reproduced, distributed, modified, commercially exploited, or used to create a competing listing or service without written authorization.
32. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, SERVICES, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY PROVIDED BY MBS OR A PRODUCT MANUFACTURER.
MBS DOES NOT GUARANTEE THAT THE WEBSITE WILL ALWAYS BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE, OR THAT EVERY PRODUCT WILL PRODUCE A PARTICULAR APPEARANCE, SOUND, PERFORMANCE RESULT, OR VEHICLE RESPONSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MBS DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, DURABILITY, AND NON-INFRINGEMENT.
SOME STATES DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THIS SECTION APPLIES ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Nothing in these Terms limits an express written manufacturer warranty or a nonwaivable statutory warranty.
33. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIDWEST BIMMER SUPPLY LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SUPPLIERS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF USE, VEHICLE DOWNTIME, RENTAL COSTS, TOWING, STORAGE, OR REPLACEMENT LABOR.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MBS’S TOTAL LIABILITY ARISING FROM A PRODUCT, ORDER, SERVICE, OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO MBS FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot lawfully be limited or excluded.
34. INDEMNIFICATION
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Midwest Bimmer Supply LLC and its owners, officers, employees, affiliates, agents, contractors, suppliers, and service providers from third-party claims, damages, liabilities, and reasonable legal expenses arising from:

35. FORCE MAJEURE
MBS is not responsible for delay or failure caused by circumstances outside our reasonable control, including severe weather, natural disasters, fires, floods, accidents, war, terrorism, civil unrest, labor disputes, epidemics, government action, customs delays, port congestion, carrier interruption, supplier failure, utility outages, or internet-service interruption.
Affected obligations will be suspended for the duration of the event, and MBS will make commercially reasonable efforts to resume performance.
36. TERMINATION AND ACCOUNT RESTRICTIONS
You may stop using our website at any time. Obligations incurred before termination remain enforceable.
MBS may terminate or restrict access to our website, services, promotions, warranties, accounts, or future purchases for fraud, abuse, threats, unlawful conduct, repeated policy violations, payment default, attempted double recovery, or material breach of these Terms.
Termination does not eliminate outstanding payment obligations, return obligations, indemnification responsibilities, or provisions intended to survive termination.
37. GOVERNING LAW AND VENUE
These Terms and transactions with Midwest Bimmer Supply LLC are governed by the laws of the State of Illinois, without regard to conflict-of-law principles, except where federal law or another nonwaivable law applies.
Any legal action arising from these Terms or a transaction with MBS must be brought in a state or federal court having lawful jurisdiction over Crest Hill, Illinois, unless applicable law requires a different location.
Before filing a lawsuit, the parties agree to make a good-faith attempt to resolve the dispute by written notice and reasonable discussion. This informal-resolution requirement does not prevent either party from seeking emergency relief or exercising a right subject to a mandatory legal deadline.
38. SEVERABILITY
If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent legally permitted or severed if necessary. The remaining provisions will continue in effect.
39. NO WAIVER
Failure by MBS to enforce a provision on one occasion does not waive the right to enforce that provision later.
Any exception, return approval, discount, credit, or accommodation applies only to that specific situation and does not modify these Terms for another transaction.
40. ENTIRE AGREEMENT
These Terms, together with the order confirmation, product-specific disclosures, Privacy Policy, and any written agreement expressly accepted by MBS, constitute the entire agreement concerning the transaction.
If a product page contains a specific made-to-order, final-sale, warranty, production-time, or fitment disclosure, that specific disclosure supplements these Terms. If there is a direct conflict, the more specific transaction disclosure controls unless prohibited by law.
41. CHANGES TO THESE TERMS
We may update these Terms from time to time. Changes become effective when posted unless a later date is stated.
The Terms accepted when an order is placed generally govern that transaction. Continued use of our website after updated Terms become effective constitutes acceptance of the updated Terms for future use and transactions.
